A&R MUSIC1.COM, requires that all visitors to this World Wide Web Site (the "Site") adhere to the rules and regulations set forth below. By accessing the Site, you indicate and affirm your acknowledgement and acceptance of these terms and conditions.

A&R Music1.com, LLC. is a limited liability corporation. (herein referred to simply as "A&R Music1.com") The commercial and communication services on the Web site, A&R Music1.com, located on the Internet at www.armusic1.com ("the Site"), are provided solely at our discretion.

By using and/or registering to become a member of the site, you are stating that you understand and agree to be bound by the terms and conditions of this A&R Music1.com user agreement (the "agreement"). Please read the agreement. If you disagree with anything in this agreement, please do not use the site or any services provided in connection with the site.

SERVICES
To use the Site, you do not have to register to become a A&R Music1.com member ("Member"). As a Member, however, you will have access to various services to which non-Members do not have access, some of which will enable you to interact with record company A&R, publishers, music supervisors and other members ("Member Areas"). These Member Areas and services can include and at our discretion, without limitation, the following:

If you would like to register to become a Member, please complete our membership registration form. When you do, you agree to:

provide true, accurate, current and complete information as prompted by the registration form, maintain and update such information to keep it true, accurate, current, and complete at all times, and that you are the age that you state. If any information provided by you on the registration form is untrue, inaccurate, not current or incomplete, or if we have reasonable grounds to so believe, we have the right to suspend or terminate your membership and to refuse to provide you with any future membership. If we have reason to believe that you have registered someone other than yourself, we will cooperate with any law enforcement investigation that may result from such misrepresentations and shall have the right, in our sole discretion, to disclose any information you provided to us in connection with such registration.

A&R Music1.com makes a good faith effort to prohibit registration as a Member by, and will not knowingly connect or store personal information from, children as governed by law.

We reserve the right to modify or discontinue temporarily, the Site (or any part thereof) with or without notice. We also reserve the right to discontinue permanently the Site. A&R Music1.com has been in business since 1993 and with no plans to dissolve the company. In the unfortunate event that we execute our right to discontinue this web site, we will notify our you no later than 60 days prior to planned discontinuance. All notifications are by email and through the current email address in your profile. You agree that A&R Music1.com shall not be liable to you or to any third party for any such actions.

FEES
We reserve the right to charge fees for access to new Site content or services that you subscribe to or register for. In no event will you be charged for access to any Site content or service, or to the Site as a whole, unless we obtain your prior agreement to pay such charges. If you do not consent to such charges, however, you may not have access to paid content or service.

MEMBERSHIP SUBSCRIPTIONS (reprinted in section 19)
Our membership subscriptions are ongoing and renew at the end each membership period, unless you have selected a one-time membership subscription. Subscriptions are managed and paid through PayPal for your convenience and security. To end your paid membership subscription, log into your PayPal account and cancel your A&R Music1.com subscription. Upon your cancellation, PayPal will update our billing system and your paid subscription will automatically end of your membership period.

SITE RULES
Following are some basic rules that apply to the Site and that you agree to follow. If you violate any of the Site rules, or if we have reasonable grounds to so believe, we have the right to deny you access to the Site, to suspend or terminate your membership and to refuse to provide you with any future membership.

1. LAWS AND REGULATIONS. User access to and use of the Site is subject to all applicable international, federal, state and local laws and regulations.

2. CHANGES TO TERMS AND CONDITIONS. A&R MUSIC1.COM, reserves the right to revise these Terms and Conditions at any time. Users are deemed to be apprised of and bound by any changes to these Terms and Conditions.

3. COPYRIGHT/TRADEMARKS. The trademarks, logos, photos and service marks displayed on the Site are the property of A&R MUSIC1.COM, and other parties. Users are prohibited from using any marks or content created by A&R Music1.com on A&R Live Hookups, demo review, workshops or teleconference sessions for any purpose including, but not limited to, off-line or non-web promotions, use as meta-tags or content on other pages or sites on the World Wide Web, without the written permission of A&R MUSIC1.COM, (or such third party which may own the marks). All information and content, including any software programs, available on or through the Site, is protected by copyright. Users are prohibited from modifying, copying, distributing, transmitting, displaying, publishing, selling, licensing, creating derivative works or using any content available on or through the Site for commercial or public purposes.

A&R MUSIC1.COM, respects the intellectual property of others, and we ask our users to do the same. If you believe that your work has been copied in a way that constitutes copyright infringement, please provide the Copyright Agent for A&R MUSIC1.COM, with the following information: (a) an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; (b) a description of the copyrighted work that you claim has been infringed; (c) a description of where the material that you claim is infringing is located on the A&R MUSIC1.COM, web site; (d) your address, telephone number, and email address; (e) a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and (f) a statement by you, made under penalty of perjury, that the above information in your Notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf. When you visit the Site, your computer gives us certain general, non-personal information about you. You may also give us certain personal information, when you answer surveys, take quizzes, buy products or respond to requests. Policies for kids and parents with respect to privacy: If you are under the age of 13, you may not provide any information about yourself to this Site. What information A&R MUSIC1.COM, collects:

Our server automatically collects data about your server's domain address when you visit this Site. The information, known as an Internet Protocol address, or IP Address, is a number that is automatically assigned to your computer by your Internet Service Provider whenever you are on the Web. When you request pages from A&R MUSIC1.COM,, our servers log your IP Address. Our server may also record the referring page that linked you to us, e.g., a search engine. 5. DATA INTEGRITY. Additionally, you agree not to:

Postings by a user on any message board or in any chat room will not be protected as confidential, and A&R MUSIC1.COM, may use and provide information contained in any such postings (including any ideas, concepts, know-how or other intellectual property) to any of its parent companies, subsidiaries and affiliates for any purpose whatsoever and as deemed appropriate by A&R MUSIC1.COM,.

User should be aware that linked sites may contain confidentiality provisions that differ from the provisions provided herein. A&R MUSIC1.COM, is not responsible for such provisions, and expressly disclaims any and all liability related to such provisions.

7. PUBLIC AREAS. A Public Area ("Public Area") of the Site is any area where you may submit material ("Submissions") for viewing by others or view Submissions of other A&R Music1.com users, such as profiles, forums, or award programs. In some of these areas, a Submission includes the name, ID, nickname, and/or other information that would be displayed with the submitted material, as applicable. You agree to use Public Areas in accordance with the Agreement and any policies for the Public Areas that are displayed on the Site.

BY SUBMITTING MATERIAL TO A PUBLIC AREA, YOU AGREE TO INDEMNIFY A&R Music1.com AND HOLD IT HARMLESS FROM ALL CLAIMS, INCLUDING, WITHOUT LIMITATION, CLAIMS FOR LIBEL, SLANDER, INVASION OF PRIVACY, COPYRIGHT INFRINGEMENT OR OTHERWISE, ARISING FROM SUCH SUBMISSION.

By making a Submission to any Public Area, you automatically grant A&R Music1.com the royalty-free, perpetual, irrevocable, nonexclusive right and license to use, reproduce, modify, adapt, publish, translate, publicly perform and display and distribute the content of the Submission (in whole or in part) worldwide and/or to incorporate it in other works in any form, media, or technology now known or hereafter developed. You also permit any other user of the A&R Music1.com Site to access, view, store, or reproduce the Submission for that user's personal use.
"(Note: For your comfort and PUBLIC AREAS clarification- Music submissions to the Hookup will not be reproduced, modified, published for distribution, sales or public performance outside of the A&R Live Hookup program. Your authorization gives us the right to play your music within the A&R Live Hookup program; make it available for review via the worldwide web by our music and entertainment industry partners; modify after your Hookup to include recorded feedback comments from our industry executives, experts and hosts; as well repost your music and recorded feedback for your future access after Hookup and A&R Music1.com promotion purposes only.)"

8. LINKS. Our provision of a link to any other site or location is for your convenience and does not signify our endorsement of such site or location of its contents. A&R Music1.com shall not be responsible for any information, software, or links found at any other World Wide Web site, Internet location, or source of information, for your use of such information, or for e-commerce transactions conducted at or through any linked site or location.

You acknowledge that we do not prescreen material posted or transmitted on the Site, but that we and our designees shall have the right (but not the obligation) in our sole discretion to review and edit, delete or refuse to post any material submitted for display or placed on the Site, including but not limited to message board posts, profiles, and member-to-member messages. Without limiting the foregoing, we and our designees shall have the right to remove any material that violates this Agreement, that we believe in good faith may create liability for us, or that we deem is otherwise objectionable.

9. SECURITY. E-mail transmission might not be secure, and a third party could view information you send. A&R MUSIC1.COM, will have no liability for disclosure of your information due to errors or unauthorized acts of third parties during transmission. A&R MUSIC1.COM, will take reasonable steps to protect the security and integrity of all personal information provided to the Site. Due to the inherent nature of the Internet as an open global communications vehicle, however, A&R MUSIC1.COM, cannot guarantee that this information will be absolutely safe from intrusion by others, such as hackers. Any unauthorized access to or use of the Site, or information collected and maintained by A&R MUSIC1.COM, should be immediately brought to our attention. We will investigate and take action to prevent or halt any violation.

REMEMBER - DO NOT DISCLOSE PERSONAL INFORMATION IN CHAT ROOMS ON MESSAGE BOARDS. WHENEVER YOU DO, ALL OF THE INFORMATION YOU DISCLOSE CAN BE COLLECTED AND USED BY OTHERS. IF YOU POST PERSONAL INFORMATION IN PUBLIC PLACES, OTHERS MAY SEND YOU UNSOLICITED E-MAIL MESSAGES. BE CAREFUL AND BE SMART WITH YOUR PERSONAL INFORMATION.

10. LEGAL AUTHORITIES. We may disclose user information to government authorities at our discretion. We also may disclose user information when we have reason to believe that someone is causing injury to or interference with our rights or property, or with the rights and property of other A&R MUSIC1.COM, site users.

11. BUSINESS TRANSFER. In the event A&R MUSIC1.COM, is acquired by another entity as a result of a merger, sale, consolidation or liquidation, customer information may be one of the transferred assets.

12. NO WARRANTIES. ALL CONTENT, PRODUCTS, AND SERVICES ON THE SITE ARE PROVIDED TO YOU "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY OR ACCURACY. OTHER THAN AS MAY BE PROVIDED UNDER ANY APPLICABLE CONSUMER PROTECTION LAW, UNDER NO CIRCUMSTANCE WILL A&R MUSIC1.COM, BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A USER'S RELIANCE ON INFORMATION OBTAINED THROUGH THE SITE. THIS LIMITATION ON LIABILITY INCLUDES, BUT IS NOT LIMITED TO, THE TRANSMISSION OF ANY VIRUSES WHICH MAY INFECT A USER'S EQUIPMENT, FAILURE OF MECHANICAL OR ELECTRONIC EQUIPMENT OR COMMUNICATION LINES, TELEPHONE OR OTHER INTERCONNECT PROBLEMS (e.g., YOU CANNOT ACCESS YOUR INTERNET SERVICE PROVIDER), UNAUTHORIZED ACCESS, THEFT, OPERATOR ERRORS, STRIKES OR OTHER LABOR PROBLEMS OR ANY FORCE MAJEURE. A&R MUSIC1.COM, CANNOT AND DOES NOT GUARANTEE CONTINUOUS, UNINTERRUPTED OR SECURE ACCESS TO THE WEB SITE.

14. LIMITATION OF LIABILITY FOR SERVICES ARRANGED THROUGH THE SITE. YOU AGREE THAT A&R MUSIC1.COM, IS A DIRECTORY FOR THE PROVIDERS OF SERVICES AVAILABLE THROUGH THE SITE, INCLUDING BUT NOT LIMITED TO TRAVEL SERVICES. ANY AND ALL CLAIMS REGARDING ANY FAILURE OR BREACH WITH RESPECT TO THE SERVICES OFFERED THROUGH THE SITE ARE LIMITED TO CLAIMS AGAINST THOSE SERVICE PROVIDERS. A&R MUSIC1.COM, HEREBY DISCLAIMS ANY LIABILITY, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, INCLUDING WITHOUT LIMITATION LIABILITY FOR ANY DIRECT, PUNITIVE, SPECIAL, CONSEQUENTIAL, INCIDENTAL OUR INDIRECT DAMAGES, IN CONNECTION WITH THE GOODS OR SERVICES PROVIDED BY ANY CARRIER OR OTHER SUPPLIER THROUGH THE SITE, INCLUDING WITHOUT LIMITATION LIABILITY FOR ANY ACT, ERROR, OMISSION, INJURY, LOSS, ACCIDENT, DELAY OR IRREGULARITY WHICH MAY BE INCURRED THROUGH THE FAULT, NEGLIGENT OR OTHERWISE, OF SUCH CARRIER OR SUPPLIER. YOU HEREBY EXONERATE A&R MUSIC1.COM, FROM ANY LIABILITY WITH RESPECT TO THE SAME.

A&R MUSIC1.COM, reserves the right to disable any unauthorized links or frames and specifically disclaims any responsibility for the content available on any other internet sites linked to the Site. Access to any other internet sites linked to the Site is at the user's own risk.

User should be aware that linked sites may contain rules and regulations, privacy provisions, confidentiality provisions, transmission of personal data provisions, and other provisions that differ from the provisions provided on the Site. A&R MUSIC1.COM, is not responsible for such provisions, and expressly disclaims any and all liability related to such provisions.

A&R MUSIC1.COM, is not responsible for the availability of these linked sites or their contents. The inclusion of a link to a third-party site does not imply endorsement of the site or of its contents or any association with its operators. A&R MUSIC1.COM, is not responsible for the accuracy, copyright compliance, legality, decency, or appropriateness of the content, nor the advertising, products, or other materials on any linked sites. Under no circumstances shall A&R MUSIC1.COM, be held responsible or liable, directly or indirectly, for any loss or damages caused or alleged to have been caused by use of or reliance on any content, goods, or services available on such sites. Any concerns regarding any linked web site should be directed to its respective Site administrator or webmaster.

16. TRANSMISSION OF PERSONAL DATA. User acknowledges and agrees that by providing A&R MUSIC1.COM, with any personal or proprietary user information through the Site, user consents to the transmission of such personal or proprietary user information over international borders as necessary for processing in accordance with A&R MUSIC1.COM, standard business practices.

User should be aware that linked sites may contain transmission of personal data provisions that differ from the provisions provided herein. A&R MUSIC1.COM, is not responsible for such provisions, and expressly disclaims any and all liability related to such provisions.

17. VIOLATIONS OF TERMS AND CONDITIONS. A&R MUSIC1.COM, reserves the right to seek all remedies available at law and in equity for violations of these Terms and Conditions, including the right to block access from a particular internet address to the Site.

18. ACCESS TO PASSWORD PROTECTED/SECURE AREAS.

Access to and use of password protected and/or secure areas of the Site is restricted to authorized users only. Unauthorized individuals attempting to access these areas of the site may be subject to prosecution.

19. OUR MONEY BACK GUARANTEE

A&R Music1.com guarantees your music heard by the music industry guest listed for your A&R Live Hookup or your money back! Only cleared payments are eligible for our guaranteed service. Money orders, checks, e-checks or bank wires not cleared (not paid or funds not received) before the scheduled start time of our A&R Live Hookup service are not eligible for service and will be applied to our reschedule policy in this section below.

REFUND AND CANCELLATION POLICY FOR A&R LIVE HOOKUPS
To receive a refund you must cancel your registration in writing no later than fourteen (14) business days prior to A&R Live Hookup date. Eligible registrations will be refunded less a $28 dollar processing fee. Cancellation request received less than twenty-one (14) days before the A&R Live Hookup start date are not eligible for a refund. You may have a substitute attend on your behalf or elect to receive a credit memo to attend a future A&R Live Hookup.

WORKSHOP / HOOKUP RESCHEDULE AND MAKEUP POLICY.
Only PAID attendees are eligible for rescheduled A&R Live Hookups. VIP Membership attendees attending on Free Scholarship, Sneak Preview, Test Drive or Free registrations are not eligible to reschedule, make-up or replacements events.

As a paid registered workshop attendee you agree to accept a rescheduled Hookup or Workshop in the event that your session has been rescheduled or postponed by our industry guest or company conflict or emergency. In the event that A&R Music1.com is unable to reschedule or replace your Hookup you will become eligible for a refund (less any Services Rendered). See our services rendered ledger below.

REFUND AND CANCELLATION POLICY FOR SUBSCRIPTIONS
All Membership Subscriptions are non-refundable.

VIP Platinum Membership
VIP ALL ACCESS PASS

Our membership subscriptions are ongoing and renew at the end each membership period, unless you have selected a one-time membership subscription or cancelled your subscription before the renew date. Subscriptions are managed and paid through PayPal for your convenience and security. To end your paid membership subscription, log into your PayPal account and cancel your A&R Music1.com subscription. Upon your cancellation, PayPal will update our billing system and your paid subscription will automatically end of your membership period.

A&R Music1.com and/or its representatives have not guaranteed you a record, production or publishing deal by registering for the A&R Live Hookup.

In the event that I / customer have/has a dispute with A&R Music1.com, I / customer agree to notify A&R Music1.com and communicate the nature of the problem in writing. Customer also agrees to provide A&R Music1.com ample time to settle the dispute. In the unlikely event that I / customer and A&R Music1.com are unable to resolve the dispute, I / customer agree that the dispute be settled by arbitration through the Better Business Bureau of Metro Atlanta.
